1. Acceptance of Terms

Welcome to Wakewall.com (“we,” “our,” or “us”). By accessing or using our mobile application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the App.

2. Changes to Terms

We may update these Terms from time to time. If we make significant changes, we will notify you through the App, via email, or by updating the “Effective Date” at the top of this page. Your continued use of the App after any changes constitutes acceptance of the updated Terms.

3. Use of the App

a. Eligibility

You must be at least 13 years old to use our App. By using the App, you confirm that you meet this eligibility requirement.

b. User Account

To access all features, you need to create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep your account credentials confidential. You are responsible for all activity under your account.

c. Acceptable Use

You agree not to:

  1. Violate any laws or regulations;
  2. Upload, post, message or share harmful, illegal, or inappropriate content;
  3. Attempt to access another user’s account without authorization;
  4. Use automated systems (like bots) to access the App;
  5. Interfere with the security or proper functioning of the App.

Any content that is deemed harmful or illegal will be forwarded to the authorities.

4. Content and User-Generated Content

a. Your Content

You retain ownership of any content (e.g., photos, videos, reminders, messages, and chats) you upload to the App. However, by uploading content, you grant us a non-exclusive, royalty-free, worldwide license to store, display, and use that content to provide and improve our services.

b. Prohibited Content

You may not upload, share, or share content that is:

  1. Illegal, defamatory, or harmful;
  2. Adult or any harmful content and content that is geared towards children;
  3. Infringing on the rights of others (e.g., intellectual property);
  4. Harassing, abusive, or invasive of another’s privacy.

Any content that is deemed harmful or illegal will be forwarded to the authorities.

c. Content Removal

We reserve the right to remove or disable access to any content that violates these Terms, at our sole discretion. We also reserve the right to limit your activities based on the content you post that we feel is harmful to others (e.g., videos, photos, messaging, reminders and chats)

5. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your personal information. By using the App, you consent to our Privacy Policy.

6. Intellectual Property

a. Ownership

All intellectual property rights in the App, including software, design, text, graphics, and logos, are owned by Wakewall.com or its licensors. You do not acquire ownership of any part of the App by using it.

b. License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the App for personal, non-commercial purposes.

c. Restrictions

You may not copy, modify, distribute, sell, or lease any part of the App, nor reverse-engineer or attempt to extract the source code of the App.

7. Termination

We may terminate or suspend your access to the App if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the App will cease immediately, but certain sections of these Terms will continue to apply.

8. Disclaimer of Warranties

The App is provided “as is” and “as available.” We make no guarantees that the App will be error-free, uninterrupted, or secure. Your use of the App is at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Wakewall.com and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the App. Our total liability is limited to the amount you have paid (if any) for use of the App.

10. Indemnification

You agree to indemnify and hold Wakewall.com harmless from any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of your use of the App, your violation of these Terms, or your violation of any rights of another.

11. Governing Law

These Terms are governed by the laws of US, without regard to its conflict of laws principles. Any legal action or proceeding related to your use of the App shall be brought exclusively in the courts located in the US.

12. Dispute Resolution

In the event of a dispute, you agree to first attempt to resolve the dispute informally by contacting us at support@wakewall.com. If the dispute cannot be resolved informally, it will be resolved by binding arbitration in accordance with the rules of the Arbitration Body, rather than in court.

13. Changes to the App

We reserve the right to modify, suspend, or discontinue the App, or any part of it, at any time without notice or liability to you.

14. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Wakewall.com regarding the App and supersede any prior agreements.
